Synopsis
A person is not always aware that their actions may result in a contractual obligation, and this effect is not always the person's intention. The problem of such fictitious contractual declarations arises at the time the contract is concluded and in the case of contract amendments and clauses available after the conclusion of a contract.
This paper examines the formation of contracts under German law, French law, English and US law, and under the European model laws as laid down in the Draft Common Frame of Reference (DCFR) and the Principles of European Contract Law (PECL). It examines approaches in the technique of contract formation that counteract fictitious contractual declarations.
